SecNova.ai AI-SIEM Terms of Service
1. Introduction
These Terms of Service ("Terms") govern access to and use of the SecNova.ai AI-SIEM platform (the "Service") by the customer ("Customer").
本服务条款（"条款"）规范客户（"客户"）访问和使用 SecNova.ai AI-SIEM 平台（"服务"）的行为。
By accessing or using the Service, the Customer agrees to be bound by these Terms. If the Customer does not agree, the Customer must not use the Service.
通过访问或使用本服务，客户同意受本条款约束。如客户不同意，则不得使用本服务。
2. Definitions
- "Service" （服务）
- means the cloud-based SIEM platform provided by SecNova.ai, including log collection, data processing, analysis, correlation, and alerting functionalities.
- 指 SecNova.ai 提供的基于云的 SIEM 平台，包括日志收集、数据处理、分析、关联和告警功能。
- "Customer Data" （客户数据）
- means any data, including logs, event records, or other information submitted to, ingested by, or processed through the Service.
- 指提交至、摄取至或通过服务处理的任何数据，包括日志、事件记录或其他信息。
- "Authorized Users" （授权用户）
- means employees, contractors, or agents authorized by the Customer.
- 指客户授权的员工、承包商或代理人。
- "Subscription" （订阅）
- means the commercial arrangement under which access to the Service is provided.
- 指提供服务访问权限的商业安排。
3. Use of the Service
The Service is designed to assist Customers in monitoring and analyzing data for potential security-related events. The Service is a supplementary tool and does not replace Customer's internal security controls, processes, or obligations.
本服务旨在协助客户监控和分析数据以发现潜在的安全相关事件。本服务是辅助工具，不替代客户内部的安全控制、流程或义务。
Customer is solely responsible for:

- Ensuring it has all necessary rights and permissions to provide Customer Data
- Ensuring that any monitoring, logging, or analysis activities are lawful
- Managing access to the Service by Authorized Users
- 确保其拥有提供客户数据的所有必要权利和许可
- 确保任何监控、日志记录或分析活动均符合法律规定
- 管理授权用户对服务的访问
Customer shall not use the Service for unlawful, unauthorized, or abusive purposes, including unauthorized surveillance.
客户不得将本服务用于非法、未经授权或滥用目的，包括未经授权的监控。
4. Data and Processing
- Customer retains all rights, title, and interest in and to Customer Data.
- SecNova.ai processes Customer Data as necessary to provide and operate the Service.
- Customer is responsible for determining the purposes and legal basis for processing Customer Data.
- Customer Data may be stored and processed using third-party infrastructure providers, including Alibaba Cloud (international regions), and may be processed across multiple geographic locations.
- SecNova.ai does not guarantee data availability, integrity, or retention beyond the normal operation of the Service.

- SecNova.ai 不对超出服务正常运营范围的数据可用性、完整性或保留做出保证。
5. Fees and Subscription
- Access to the Service is provided on a subscription basis.
- All fees are non-refundable unless otherwise agreed in writing.
- SecNova.ai reserves the right to suspend or terminate access in the event of non-payment.

- 除非书面另行约定，所有费用不予退还。
- SecNova.ai 保留在未付款情况下暂停或终止访问权限的权利。
6. Availability and Changes
- The Service may be unavailable from time to time due to maintenance, updates, or factors beyond SecNova.ai's control.
- SecNova.ai does not guarantee uninterrupted, timely, or error-free operation of the Service.
- SecNova.ai may modify, suspend, or discontinue any part of the Service at any time without liability.
- 由于维护、更新或 SecNova.ai 无法控制的因素，服务可能会不时出现不可用情况。
- SecNova.ai 不保证服务的不间断、及时或无错误运行。
- SecNova.ai 可随时修改、暂停或终止服务的任何部分，且不承担任何责任。
7. Disclaimers
The Service is provided on an "as-is" and "as-available" basis.
本服务按"现状"和"现有"基础提供。
Customer acknowledges that:

- The Service may not identify all threats, vulnerabilities, or incidents
- Detection mechanisms, including AI-based analysis, may produce incomplete, inaccurate, or delayed results
- The Service does not prevent unauthorized access, attacks, or security breaches
- 本服务可能无法识别所有威胁、漏洞或事件
- 检测机制（包括基于 AI 的分析）可能产生不完整、不准确或延迟的结果
- 本服务不能防止未经授权的访问、攻击或安全漏洞
To the maximum extent permitted by law, SecNova.ai disclaims all warranties, whether express, implied, or statutory, including any warranties of merchantability, fitness for a particular purpose, and non-infringement.
在法律允许的最大范围内，SecNova.ai 否认所有明示、暗示或法定的保证，包括适销性、特定用途适用性和不侵权的保证。
8. Limitation of Liability
To the maximum extent permitted by law:

- SecNova.ai shall not be liable for any indirect, incidental, consequential, special, or punitive damages
- SecNova.ai shall not be liable for loss of data, loss of business, or security incidents
- SecNova.ai's total aggregate liability shall not exceed the total fees paid by Customer in the twelve (12) months preceding the claim
- SecNova.ai 对任何间接、附带、后果性、特殊或惩罚性损害不承担责任
- SecNova.ai 对数据丢失、业务损失或安全事件不承担责任
- SecNova.ai 的总赔偿责任不超过客户在索赔前十二（12）个月内支付的总费用
9. Indemnification
Customer agrees to defend, indemnify, and hold harmless SecNova.ai from and against any claims, damages, losses, or liabilities arising out of:
客户同意为 SecNova.ai 辩护、赔偿并使其免受因以下情况引起的任何索赔、损害、损失或责任：
- Customer's use of the Service
- Customer Data
- Customer's violation of applicable laws or regulations
- 客户使用本服务
- 客户数据
- 客户违反适用法律法规
10. Termination
SecNova.ai may suspend or terminate access to the Service at its discretion, including for breach of these Terms or non-payment.
SecNova.ai 可自行决定暂停或终止服务访问权限，包括因违反本条款或未付款。
Upon termination, Customer Data may be deleted in accordance with standard operational practices.
终止后，客户数据可能按照标准操作规程予以删除。
11. General Terms
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Singapore.
本条款受新加坡法律管辖并按其解释。
11.2 Changes to Terms
SecNova.ai may modify these Terms at any time. Continued use of the Service constitutes acceptance of the updated Terms.
SecNova.ai 可随时修改本条款。继续使用本服务即表示接受更新后的条款。
11.3 Assignment
Customer may not assign or transfer its rights or obligations under these Terms without prior written consent from SecNova.ai. SecNova.ai may assign these Terms without restriction.
未经 SecNova.ai 事先书面同意，客户不得转让或转移本条款下的权利或义务。SecNova.ai 可不受限制地转让本条款。
11.4 Force Majeure
SecNova.ai shall not be liable for any delay or failure to perform due to events beyond its reasonable control.
SecNova.ai 对因超出其合理控制范围的事件导致的任何延迟或未能履行不承担责任。
11.5 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
如本条款的任何条款被认定为无效或不可执行，其余条款仍完全有效。
11.6 Entire Agreement
These Terms constitute the entire agreement between the parties regarding the Service and supersede all prior agreements or understandings.
本条款构成双方就服务达成的完整协议，并取代所有先前的协议或谅解。
